Ebay has filed suit against craigslist and its board of directors:

We are surprised and disappointed by Ebay’s unfounded allegations, which came to us out of the blue, without any attempt to engage in a dialogue with us.

Coming from a shareholder that views craigslist as a prime competitor, filing suit without so much as mentioning these assertions beforehand seems unethical, and hints at ulterior motives.

Ensuring the future well-being of craigslist and the craigslist community is admittedly very important to us. But Ebay has absolutely no reason to feel threatened here — unless of course they’re contemplating a hostile takeover of craigslist, or the sale of Ebay’s stake in craigslist to an unfriendly party. (In which case, they’re out of luck.

For our part, we have always treated Ebay very fairly as a minority shareholder, and plan to continue doing so, despite this unfortunate development.

Addendum in response to commenter question - To be perfectly clear, Ebay’s stake in craigslist has not been “unfairly diluted” as they have claimed.

    Oh yeah…let’s just kept letting the rich get richer…and the poor people who just wanting to make a penny here and there for either there old used stuff…or even some of our services offered to others…get “screwed” for lack of a better word… So power and strength in numbers to the developers of craigslist!!     In the meantime do you think you can let the eBayers back to being able to post links to their eBay listings! Right now it gets pulled. We need a place to trade in peace without having obay,paypal,skype or woestores microchip us. Maybe the peoples at CL will find it in their heart to support small business and invest in US. We all all hard workers. We dont need much either. We are used to not getting anything so it would be very easy to get us to be with you. IF there was only a place ….

    feeBay has already alienated their userbase so much, I’m not surprised they’re feeling desperate. I considered selling my Nintendo DS on eBay, but then remembered about the unfair auction fees which were just marked up recently, and the fact I’d lose a cut if I did it through PayPal. Oh, not to mention the hassle of going to the post office. I put it up on Craigslist and got a response within hours, and my DS was sold locally the next day. I’ll never sell on feeBay ever again. I’m a loyal Craigslist fan and will be as long as they stick to their roots, which feeBay has not. I’m cheering for you!

The love for ebay is not the company itself but what it stands for as contrast to craigslist that people love what you stand for and your site. I am new to craigslist but not ebay as they have and paypal there baby have really abused me as a customer.

    I really hate, hate, hate ebay and paypal. I am a powerseller there and they freeze your account, limit yeah, loose money in paypal etc. I have about 800 transactions plus and 1 negative on record but you think that means anything to them. NOPE, So never mind FEEBAY as they just want more money so make all craigslist free everywhere so they will sell out or you buy them out and be done with them.     I echo the comments above: beyond the puff and bullshit, what about these charges? Are they true? Did you guys do a “wash out job” to screw eBay? Facts? Hello?

    If the charges aren’t true why don’t you just explain why and how and we can all go on loving CL.

    I don’t love anybody who screws *anybody* out of their rightful money, and the millionaire founders of CL don’t get a pass because they run a cool website. They should be subject to the same rules as the rest of us.

    Just answer the charges in clear terms and we’ll all be happy to jump to your defense…

    CL did not sell them stock intentionally. Ebay received it when an ex-CL employee with a ~25% stake went to Ebay, looking to sell it. Apparently there was nothing in the agreement with CL that precluded the sale to an outside corporate entity (and potential competitor) such as Ebay.

    ebay has become increasingly cumbersome and costly. I’ll take craigslist any day. Hope you smack the giant down. They continue to try to bribe and or coerce any other online venue to join them under their umbrella. Too bad the umbrella is full of holes. Sales are down, market share is dropping. They have no customer service and every touted attempt to bring security to their site causes more problems. ebay constantly ignores many of it’s users complaints.
    The disruption strategy isnt working as planned. Hopefully CL will win this fight and ebay can go back and sulk in their corner of the internet and leave one of the best sites for buying and selling on the internet alone.

    It’s hypocritical, at best, that they complain of being “disadvantaged” when that’s what they do to their own paying customers - the sellers. The Ebay business model is to pay your fees and they will hide your listings behind countless scammers and counterfeiters.

    ebay has no regard for it’s sellers financial investment in their company yet has the nerve to file a law suit against an entrepreneur who has a better platform than they do…

    eBay sellers acted in good faith with them; opened stores, purchased inventory, spent time consuming hours listing all our items in the store, building reputation and business only to be forced out because we now don’t fit their new master plan.

    Does eBay, their representatives and subsidiaries make truthful and complete disclosures to those placing trust in them? Are they not obtaining an unreasonable advantage at the latter’s expense?

    In all fairness, I like ebay too, but the ease of use, local outreach and of course the FREE factor, makes CL no. 1 for me.

    Now I wish you guys could have sued ebay when they started kijiji….but then that is the difference between CL and ebay.

    As a lawyer with experience in these matters, I would love to see details on eBay’s claim on how craigslist “diluted” eBay’s ownership stake in contravention of DE law. In fact, this type of anti-takeover action is quite common and routinely upheld in the states of DE, MD, and so on. Certainly a claim that the directors have violated their fiduciary duties is tenuous. Is eBay trying to “browbeat” craigslist with non-meritorious claims?…

    The good news is that CL has shown that the model works. The key may be for a PRIVATELY OWNED company structure.

    What eBay wants from craigslist is for it to go away and die in a corner. It’s that simple. You don’t trust a company that has a history of hyper-aggression towards any and all competition. I am a member of eBay but they are my second, if not third, choice. Whatever I am trying to accomplish in the marketplace, I consider craigslist first, and clearly what eBay would like is that I have no choice, as they would be the only choice.     This move comes as no surprise given the history. So the other aspect of FeeBorg I’ve been wondering about: Where is the FTC / other US Gov depts involved with Antitrust/ monopolistic practices? There is no doubt some nasty and nefarious plan behind this ebaY suit, but unfortunately ebaY HAS bought way more influence than should be legal! No one is regulating ebaY/PayPal so they will do whatever they want, whenever they want, until someone has the deep enough pockets to sue them successfully without settlement, or some legislator has the guts to regulate them.

    Frankly, if ebay wants to pursue this crap, maybe people need to look in to regulating ebay’s countless scam auctions like giving full disclosure as to their rates. Also, maybe provide some *real* customer service. And, it’s time that paypal be regulated like the bank it pretends to be.

    I take much comfort in the fact that as ebay scrolls through these posts that they can do nothing to delete them,l like they do over on their own site. One has to wonder if that’s what they really want to do here.

    In response, I told the respective customer not to hold their breath. I do Not accept Paypal today, I will never accept Paypal ever.

    We still don’t, merchants who use Pay Pal, are generally not approved by Banks as Legitimate Merchants, hence they trade by Paypal.

Slick ebay tactics and imho, they placed a mole in Craigslist to achieve this sale. Ebay’s been trying to get a hold of more Craigslist stock ever since and for no other reason than to take it over or crush it out of existence to be replaced with yet another ebay monopoly.

    Like many others here, I love Craigslist. I may not have used it to the extent that others have, but over the years it’s no doubt saved me hundreds if not thousands of dollars in listing fees had I used eBay or newspaper classifieds. And the friendships I’ve made with people met through Craigslist (mostly roommates) I consider priceless.

    To that end, I have an idea for how you could offer to buy out eBay’s shares without having to come up with a large sum of money. Pick a generous valuation for the stock…hopefully it’s around or under $200 per share. Then, through the Craigslist site, allow users to purchase 1-10 shares each. Make sure that every buyer agrees to a legalese document limiting shareholder rights (like the minority shareholder rights to sue that eBay is exercising). You could even allow these shares to be traded on the Craigslist website, so they won’t be valueless.

    I see this as a win for everyone, with the possible exception of eBay should their motivation be to sabotage Craigslist. For eBay, they get to sell their shares at a profit. For Craigslist, the eBay lawsuit goes away and the core community values are strengthened. And for us users, it gives us a chance to own a small piece of an organization that we believe in and makes our lives better.

    (IANAL, of course, so there could be some legal reason why this idea wouldn’t work)

    Even if Craigslist diluted the shares - so what? Many companies dilute their shares for various reasons.
    Ebay’s possession of Craigslist stock was a hostile takeover as they were unsolicited by the main partners. The partner who sold out to eBay is a self-absorbed and potentially immature jerk. They knew what they were doing and they sold out a great site - against the wishes of the other partners who built the site.
    There are too many monopolies growing out there. KUDOS to craigslist for staying their own course and not selling out for the money. I am sure it would be an easier decision to sell of their baby and move on to another venture - but they don’t. This keeps the site free for us to access and use.
    Ebay is just another google - sellouts.
    I believe strongly in capitalism - I also do not believe that healthy capitalism includes gluttony or greed.

    I think we all love Craigslist… but that’s not really the issue here. Let’s not be too hasty to jump to conclusions.

    All I really know so far is that EBay isn’t happy with the fact that Mr. Newmark and Mr. Buckmaster allegedly diluted EBay’s ownership interest unfairly and without representation.

    As I understand it EBay owns (or owned prior to dilution) 28% of Craigslist. That’s a pretty big chunk, and in most companies it’s worthy of board representation. If you buy 28% of something, you ought to have some say in what happens to it. But my understanding of Craigslist’s board is that Mr. Newmark and Mr. Buckmaster are the only two members, and that EBay is not represented at all. (A two person board member consisting only of insiders is generally not considered proper corporate governance anyway.)

    And what Mr. Newmark and Mr. Buckmaster apparently did was reduce EBay’s ownship stake of the company without EBay’s OK, which is a legitimate beef if it’s true. (Would you want your bank reducing your savings account balance by 10% without your permission?)

    If that is indeed the case, then I think it’s fair to say that EBay’s interests are underrepresented on Craigslist’s board. EBay has every right to that representation because it paid for shares of the company. That’s exactly what shares of the company represent — and Mr. Newmark and Mr. Buckmaster know that.

    I certainly would be saddened to see Craigslist change and become more commercial, but if it does, don’t blame EBay. Blame Mr. Newmark for not being more judicious in issuing shares of his company. He is the one who decided early on to issue shares to someone who wasn’t on board with his long-term vision for Craigslist — someone who would later sell out. And also blame Mr. Newmark for not putting together a more equitable board that includes representation for EBay. Had he done so, EBay probably would not have grounds for the lawsuit they are filing.

    In the past 3 months, I sold about $750 on eBay and bought about $2200 worth the goods. I also sold $1000 on craigslist for an old tool (Delta DJ20 Jointer) and bought about $400 worth the goods. I view both sites as equalizers for the middle class. As retail prices get ever higher you can always find used equivalents cheaper through these two sites.

    I am deeply bothered about this malevolent lawsuit. Our nation has become an extraordinary nation of greedy businessmen. I think, as a small guy, boycotting eBay would be one way to send a message that their malevolent actions do not meet with my approval. If enough eBayers (100,000+) have a similar reaction and let eBay know their sentiments, may be eBay will reconsider its greed.

    Well eBay blogger, eBay is a PITA to use, they encourage a monopoly by paypal, the site is too complex and too commercial. I was looking for a used travel trailer and all I got when I searched was a bunch of RV dealers pushing their wares, with ads repeating over and over.

    On top of that, someone stole my identity there once, I had to go to the real time help site to get that cleared up! My user name there is jan_rn, I haven’t used the site for years, I was only a buyer.

    Paypal also turned out to be a PITA, and I have no idea what email I’m even registered on with them. I hate the unholy alliance between paypal and eBay.

    This lawsuit seals the deal as far as my disdain for eBay, talk about bully tactics!

I can remember back in the late 1990’s eBay would show up at collector’s shows and ask people’s options and they really did listen to people. Then when the “Queen” can in to run the company after a few years I started seeing very disturbing behavior. eBay has become the school yard bully, they will try to push anyone they can around including there customers, that would be the sellers the people that are paying the bills, not the buyers, but as usual eBay gets it ass backwards. Pad there listings by offering discount days, if they can offer discount days then they can lower there damm fees. And lets not forget when they padded there listings, got caught then could not even get there bull shit story straight. This time they are finding out they are not going to push Craigslist around.

    A funny article I read about this, some clown from eBay stated that the layout of Craigslist has not changed since it first started, big deal at least there site works, that’s more then I can say about eBay’s technical nightmare. I think I just might be shocked if the site ever worked. The worst thought in the world would be if eBay got control of Craigslist, I could just see Best Match on Craigslist. eBay you are a minority share holder, you have little to no say, so sell you stock or shut up. Leave Craigslist alone, No body wants you around, get the hint.

    I think that a boycott is just like a crash diet, yea it seams good but after a little while everything will be back to normal again. The only way to realy have a long term effect on ebay will be to make quiting a life style change. It is very hard to quit ebay. They have gotten me way more at times than I thought I should have for junk around my shop.

    On another note— I think that those 15,000 ebay employes are probably the ones posting junk car ads on CL, over and over and over.

    I am soooo looking forward to the day that Ebay gets called out on all of the unethical dealings they have been involved in. I am a seller who has recently left that site because I just can’t stand being apart of it anymore. I don’t care what the spin-doctors are saying—sales are falling and the prices are dropping so low that it is not even worth it to sell there anymore. Non-paying and fraudulent bidders are flocking over there in droves.
    I am a total believer in the replies made by Craigslist and I hope this can set a precedence in the future for online auctions.

    If Ebay is allowed to continue on doing business the way they have been, it looks bleak for any fair market auctions in the future. They want a total monopoly and will do whatever they want to get that. They have been bulling thier sellers too. They own Paypal as well. That is a lot of power already. They have a lot in common with Walmart.

    I have never sold on C/L but I am going to start. I hope they would start an auction site, then alot of people would leave ebay. Ebay has alot of traffc and that why people sell on ebay.     As an engineer at ebay, all I could think when I saw the news was, “Surely, there’s another place to work.” Frankly, I doubt that CL is always right about everything, but for eBay to sue CL is off the charts stupid. eBay had no business grabbing that 25% in the first place.     My knee-jerk reaction is to side with Craigslist. I’m a long time user and a huge fan of Craig Newmark. But I’m curious as to what exactly eBay has accused Craig Newmark and Jim Buckmaster of.

    CN and JB _did_ agree to eBay’s minority position in CL. And they profited from the decision. That being the reality, eBay must have some reason to think they’re stake has been “unfairly diluted.”

    In the mid 1970s, I pulled Homefinders Bulletin out of near bankruptcy and designed it into probably the historically first commercially successful computerized information system. Now I’m the founder of post-science, knowledge beyond science, and no longer runs any information transfer business, but still very fond of the memory running HB.

    Starting from 1975, I used the first two year to run all the rental information competitors of HF out of business, except UC Berkeley Housing Office, first year to ruin their reputation in service and the second year, their income. When some of my innovations became effective, HF received threatening phone calls to bomb (!) its office from the Housing Office (!). I told the office workers not to give up, but I would not be going to the office for a while. In the third year, the 30 years old local newspaper Berkeley Gazette folded.

    From my experience with HF, I wrote The Computer Newspaper, a business plan for expanding HF into an Internet newspaper, which should replace almost all the newspapers in the world. Craigslist is currently the frontrunner in the competition in this grand prize in business.

    Here is the interesting part about eBay. If you open up a newspaper, eBay started as one of the least respected section of the classified section dealing with auctions. HF deals with one of the most profitable and important part, the rental classified section. Craigslist can run eBay out of business without even compete with it directly in auctions. CL is in a far better position to capture the Computer Newspaper than eBay by its efficiency of operation.

    My tentative suggestion for CL is to offer to buy back the 25% eBay own. Whatever price eBay asks should be raised by no-string-attached donations or some business operations which can generate the necessary revenue, but do not affect CL current public service operation. As the founder of a knowledge company (PSI), my suggestion for a profitable subsidiary of CL is to start a knowledge company selling analyzed statistical data cllected from CL.

    I am glad to see that Craigslist is led by people (Jim and Craig) who are not corruptible by money. Knowingly or not, craigslist can become one of the most powerful companies, if not the most powerful, in the world. There will be far greater temptation in the future than now, and now is the time to settle all the future possible problems.     Craigs’s List has provided a fantastic service and I am really discouraged that this is happening. In the area where I grew up we have a small statewide publication called Uncle Henry’s which is a published (paper) free classified ads service. You pay like $1.50 for each month’s Uncle Henry’s at the local convenience store. It’s terrific and it’s a great way to find stuff. I am so excited about Craig’s List because it’s like a huge version of Uncle Henry’s!

    Ebay negotiated with its purchase with the whole Craigslist board back when and even if Craig regrets their decision, he can’t go around trying to dilute the position of stakeholders whose views may not be aligned with his.

    To all of you cry babies out there who are moaning about CL possibly dealing with Ebay in a less than fair manner, I say………….What goes around, comes around. Ebay has been screwing it’s customers for years. In my opinion they are the greediest entity in existance and I for one would love to see them go down. The whole lot, including Skype, PayPal and anything else they’ve got their grubby paws into. I was an auction seller for many years, and in the early days Ebay was great. Then I hear they started buying up every single online auction site that even came close to competing with them. What has happened to this countries anti-trust laws? The gov. didn’t blink an eye when they went after Bill Gates and Microsoft. So now they are going to wimp out when it comes to Ebay? I say they should take ‘em down! LONG LIVE CRAIGSLIST!

    I use both if I want to sell it locally then its Craigs list if its a hard to sell item new and I can can still cover those crazy fees then I will use feebay. I don’t care if anyone breaks any rules because I have no faith in the enforcement of the laws anyway. The Fact is that the best way to deal with anyone that treats you unfairly is to not deal with them at all. Just hit the ignore button…and let FREE TRADE prevail…In other words If Ebay treats you unfairly then don’t use them and don’t look to the gov. to fix it for you. If Craigslist is the better deal and they treat you fairly then use them …its simple and effective ..POWER TO THE PEOPLE !!!!

    I have been reading what is going on and it appears to me that ebay wants it BOTH WAYS!

    If ebay can launch a rival to Craigslist than Craigslist should be able to do the same, especially seeing that ebay has the auction advantage at this time anyway.

    I think ebay knows that their new changes were going to drive MANY sellers (like kyself) away and seeing that craigslist has such a HUGE market it feared them as the place in which their customers would run to. This part they have it right though.

    I would come to Craigslist in a second and so would MILLIONS of other people. Ebay would sink like a lead brick! Then Craigslist could buy a MAJORITY share in ebay..lol

    For all of you ebayers who have not heard what Donahue has called its sellers you should know. He calls us NOISE, he said ebay was a Flea market (not that tha is bad) but to him it is. It was these “Flea market” folks who made ebay what it is. But of course, once we have put them where they wanted to be, we are thrown out with the trash.

    And get this, I have heard that ebay was HAPPY about the boycotts because it drove stock prices down which allowed employees to buy them up at a cheaper price.

    They were also caught listing hundreds of thousands and maybe even millions of listings during boycotts. It is believed that this was meant to deceive stockholders into thinking the boycotts had no affect on listings.

    When BUSTED for these FAKE lsitings they first claimed it was an error, then they said it was a test. They still haven’t decided which stand they will take on the issue.

    You see, these listings were found to be from one of their other sites. They posted shipping at prices like 500 for a can of oil, a generator for like 2200 shipping etc (violating their own ploicies). and if you did try and bid on an item it would say it was not a valid listing etc.

    Now call be crazy but what are the odds that they would run “tests” of hundreds of thousands of listings, which were clearly bogus te exact same time there was a boycott.

    I wish you well Craigslist and please do not give up because that is what they are hoping for. They will try to bombard you in litigation to try and brake you but consider opening up an auction site and BEAT them with their own baton.

    The fact is, the craigslist concept is killing ebay. While they’ve made tactical decisions to inflate their profits short-term, they (ebay) are a dated concept in a rapidly evolving technological world.

    That craigslist actually allowed a chief competitor to buy an appreciable stake in their operation tells me that maybe the Craigslist decision-makers need to be a little less “San Francisco” and get a little more “New York City” with their business strategies.

    This Trojan Horse was clear in coming.

    ebays ceo made…$450 million in 10 years…thats $123,287.00 per day…everyday. let’s say she worked 12 hours a day 7 days a week…she made $10,274/hour…

    i have an idea…how about $274 per hour for meg and ten thousand per hour can pay some staff to actually perform some customer service…(that stuff they claim sellers should do, yeah, the stuff they never have done) the extra $10 per hour…split back to 24 hours=$5 k per hour solid through 10 years would pay 250 customer service reps…

    i guess you have to be okay with taking cash that should be used to help the people that made it be there in the first place, in order to be a ceo at ebay?

    the reason laws exist in the first place…to make sure whats happening at ebay doesn’t happen.

    craigslist is the best thing to come along for the public to be able to find what they need without having to pay the middleman(ebay). I use to be an ebay shopper.     eBay is despicable in its treatment of its customers, users and partners. part to blame is that it is accessible by so many fraudulent scam artists. their tough rules and aggressive behaviour reveberates to all customers and this is a problem.

    Meg is a strategy consultant and follows Porter’s strategic forces to a tee when trying to usurp market power by all means including customers, partners, suppliers, and rivals.

    In the end, they are not good at keeping their good customers. this action against craigslist is a symptom of this litigious, overly aggressive culture at eBay.

    However, if they win this battle, make sure you are trying to win the war.
    A multi-industry coalition against eBay should be formed to teach it a lesson.

    Ebay’s is American style fascism, styled under the Disney corporate model of totalitarianism. Craigslist on the other hand is true democracy, for all it’s good and bad. Ebay is dying slowly, but painfully, I say ‘good riddance’ and ‘die you greedy bastards’.
